1. Service Definition
Attention Flow (“Agency”) provides digital marketing services, including, but not limited to, video and poster advertisement creation and manual lead scraping from publicly available social media sources (e.g., LinkedIn).
2. Scope of Work & Delivery
- Creative Assets: Agency will deliver video/poster ads in digital format.
- Lead Generation: The agency provides manual scraping services. Data will be delivered via a Google Sheets link.
- Service Basis: Fees are charged based on the labor of production and manual research, not on the guaranteed conversion or "closing" of leads.
3. Client Responsibility & Professional Licensing
- Verification: The Client (Doctor, Lawyer, Engineer, etc.) must provide proof of professional certification/licensing upon request.
- Legal Compliance: The Client is solely responsible for ensuring that the advertisements produced by the Agency comply with the professional ethics and advertising boards of their specific jurisdiction (e.g., State Bar associations for lawyers or Medical Boards for doctors).
4. Data Privacy & Scraped Information
- Public Data: Agency only scrapes data that is publicly accessible on social media platforms.
- Data Storage: While the Agency uses Google Sheets for delivery, the Client is responsible for the security of the data once the link is shared.
- Compliance: The Client agrees to use the scraped data in compliance with the CAN-SPAM Act (USA), GDPR (Europe), and the Cyber Security Act (Bangladesh). The Agency is not liable for how the Client contacts these leads.
5. Payments & Foreign Exchange
- Platforms: Payments are accepted via Payoneer or direct bank transfer.
- Local Compliance: For clients in Bangladesh, the Agency operates under the Contract Act, 1872. For international clients, the Client is responsible for any intermediary bank fees or wire transfer charges.
- No Refunds: Due to the "labor-intensive" nature of scraping and editing, all sales are final once the work has been delivered.
6. Limitation of Liability & Indemnification
- No Guarantee: Agency does not guarantee lead quality or response rates.
- Indemnity: The Client agrees to indemnify and hold Attention Flow harmless from any legal claims, damages, or losses arising from the Client’s professional practice or the use of the leads provided.
7. Force Majeure (The "Internet Clause")
The Agency shall not be liable for delays caused by circumstances beyond its control, including but not limited to regional internet outages, power failures, or government-imposed connectivity restrictions within Bangladesh.
8. Governing Law
This Agreement is governed by the laws of the People's Republic of Bangladesh. Any legal proceedings shall take place in the courts of Dhaka, Bangladesh.
